These Terms of Service ("Terms") govern your access to and use of the VendorsAxis platform at vendorsaxis.com ("Platform"), operated by VendorsAxis LLC, a California limited liability company ("we," "us," or "our"). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and represent a legitimate business entity to use VendorsAxis. By registering, you represent that all information you provide is accurate and that you have the authority to bind your business to these Terms. The Platform is intended for commercial construction industry professionals only.

2. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activity that occurs under your account
You must notify us immediately of any unauthorized use of your account at legal@vendorsaxis.com
You may not create multiple accounts or impersonate another business

3. Acceptable Use

You agree not to:

Post false, misleading, or fraudulent business information
Use the Platform to spam, harass, or solicit other users outside of normal business introductions
Scrape, copy, or reproduce Platform data without written permission
Attempt to reverse-engineer, hack, or disrupt the Platform or its underlying systems
Use the Platform for any unlawful purpose or in violation of U.S. export control or sanctions laws
Upload content that infringes any third-party intellectual property rights

4. No Professional Advice

Information provided through the Platform is for informational and networking purposes only and should not be relied upon as legal, engineering, architectural, safety, financial, insurance, licensing, or professional advice of any kind. Users are solely responsible for obtaining appropriate professional advice before entering into any business relationship or undertaking any construction project.

5. Marketplace Disclaimer — Important

VendorsAxis is a technology platform that facilitates introductions between independent businesses. VendorsAxis is not a party to any contract, bid, proposal, purchase order, subcontract, or other agreement entered into between users.

VendorsAxis is not a contractor, subcontractor, supplier, broker, staffing agency, construction manager, or agent of any user. Nothing in these Terms creates any partnership, joint venture, employment relationship, franchise relationship, or agency relationship between VendorsAxis and any user.

VendorsAxis does not verify and does not guarantee that any user possesses required licenses, permits, certifications, insurance, bonding capacity, safety qualifications, or legal authority necessary to perform any particular scope of work or project. VendorsAxis does not perform background checks on users or their employees unless expressly indicated.

Users are solely responsible for conducting their own due diligence — including verifying licensing, insurance, bonding, references, and qualifications — before entering into any business relationship with another user discovered through the Platform.

We reserve the right to remove inactive accounts, outdated profiles, duplicate listings, or content that negatively affects the integrity of the Platform, at our sole discretion and without prior notice.

6. Matching & Contact Reveals

VendorsAxis provides business matching as a convenience service based on automated criteria including specialty, location, and project type. We do not guarantee the quality, reliability, suitability, or fitness for purpose of any matched business. Match scores are indicative only and do not constitute an endorsement or recommendation.

Contact reveals consume credits or subscription allowances as described in your plan. All revealed contact information must be used only for legitimate business purposes consistent with these Terms.

7. Subscriptions & Payments

Free accounts receive 3 contact reveals per month at no charge
Paid plans (Growth at $15/month, Featured at $35/month) are billed monthly in advance through Stripe
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date
Cancellation takes effect at the end of the current billing period — you retain access until then and no partial refunds are provided
We may suspend or terminate access if a payment cannot be processed after reasonable notice
Fees do not include applicable taxes, which are your responsibility
We reserve the right to modify pricing with 30 days written notice
Promotional offers, free trials, or discounts may be modified or withdrawn at any time

8. Intellectual Property

All content, features, and functionality on the Platform — including the matching algorithm, design, code, data, and branding — are owned by VendorsAxis and protected by applicable intellectual property laws. You may not copy, reproduce, modify, or create derivative works without our express written permission. All rights not expressly granted under these Terms are reserved by VendorsAxis.

9. DMCA / Copyright Policy

If you believe that content on the Platform infringes your copyright, please send a written notice to our designated copyright agent at legal@vendorsaxis.com that includes: (a) identification of the copyrighted work claimed to be infringed; (b) identification of the allegedly infringing material and its location on the Platform; (c) your contact information including mailing address; (d) a statement that you have a good faith belief the use is not authorized; and (e) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner.

10. User Content

You retain ownership of content you submit to the Platform (profile information, logos, images, etc.). By submitting content, you grant VendorsAxis a non-exclusive, worldwide, royalty-free license to display, reproduce, and use that content solely to operate and improve the Platform. You represent that you have the rights to submit all content you post and that it does not infringe any third-party rights.

We reserve the right to remove any content, profile, or listing at our sole discretion and without prior notice, including content that violates these Terms, is fraudulent, is outdated or inactive, or that we determine negatively affects the integrity of the Platform.

11. Release of Claims Between Users

To the fullest extent permitted by applicable law, you release VendorsAxis, its officers, employees, and agents from any claims, demands, damages, losses, or liability of any kind arising out of or relating to disputes between you and any other user of the Platform, including disputes arising from any project, contract, or business relationship initiated through the Platform.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. WE DO NOT WARRANT THAT MATCHES WILL RESULT IN SUCCESSFUL BUSINESS RELATIONSHIPS, COMPLETED PROJECTS, OR ANY PARTICULAR BUSINESS OUTCOME. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY USER PROFILE OR INFORMATION ON THE PLATFORM.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VENDORSAXIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR LOSS OF BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In all cases, VendorsAxis's total cumulative liability to you for any claims arising from or related to these Terms or the Platform shall not exceed the greater of: (a) one hundred US dollars ($100); or (b) the total fees paid by you to VendorsAxis during the twelve (12) months immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless VendorsAxis, its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit to the Platform.

15. Force Majeure

VendorsAxis shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, internet or cloud infrastructure outages, government actions, or power failures.

16. Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, if you violate these Terms or for any other reason we deem appropriate to protect the Platform or its users. You may close your account at any time by contacting us. Termination does not entitle you to a refund of any prepaid fees. Sections 8, 10, 11, 12, 13, 14, and 17 survive termination of these Terms.

17. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution First

Before initiating any formal proceeding, you agree to contact us at legal@vendorsaxis.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration shall take place in Orange County, California. Each party shall bear its own attorneys' fees unless otherwise awarded by the arbitrator or required by law. The arbitrator's decision shall be final and binding. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found unenforceable, then the arbitration agreement shall be null and void.

Small Claims Exception

Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

18. Electronic Communications

By creating an account, you consent to receive all notices, disclosures, and communications from us electronically. You agree that electronic notices satisfy any legal requirement that such communications be in writing.

19. Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without your consent in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, with notice provided to you.

20. Severability, Waiver & Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of that provision. These Terms, together with the Privacy Policy and Cookie Notice, constitute the entire agreement between you and VendorsAxis regarding the Platform.

21. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
